FLOOKUP DATA WRANGLER TERMS AND CONDITIONS

Definitions

Add-on: The proprietary software called "Flookup" or "Flookup Data Wrangler".

Flookup AI: The artificial intelligence features and services provided by Flookup, as described on the Flookup AI page.

Flookup API: The application programming interface provided by Flookup, allowing for programmatic access to Flookup services.

You/Your/Yourself: An individual or legal entity exercising permissions granted by this License.

License: The terms and conditions for use, reproduction and distribution as defined by this document.

Developer: The Add-on owner or entity authorised by the Add-on owner that is granting the License.

License

By downloading, installing or using the Flookup Add-on, Flookup AI or Flookup API (collectively, the "Services"), you agree to be bound by international intellectual property laws and by the terms and conditions of this agreement between you and the Developer.

The Developer grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the Services solely in accordance with the terms of this License.

Restrictions

• The assignment, sub-license, networking, sale or distribution of the Services is strictly forbidden without prior written consent from the Developer.
• It is a breach of this License to assign, sell, share, loan, rent, lease, borrow, network or transfer the use of the Services. If any person, other than yourself, uses the Services licensed to you and if such use is contrary to any or all of the terms found in this section, then this License will have been breached and you will be deemed responsible for that breach.
• You agree not to and will not permit others to, use the Services except in compliance with all applicable laws and not for any unlawful purpose. The use or distribution of the Services together with material that is pornographic, racist, vulgar, obscene, defamatory, libellous, abusive, promoting hatred, discriminating or displaying prejudice based on religion, ethnic heritage, race, gender or age is strictly prohibited.
• You agree not to and will not permit others to, license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Services or make the Services available to any third party.
• Each licensed instance of the Add-on, Flookup AI or Flookup API may be used through a single Consumer Google Account or Managed Google Account. Use of the Services means that you have loaded, installed or run the Add-on, Flookup AI or Flookup API on a computer, mobile phone or similar electronic device.

Modifications to the Services

The Developer reserves the right to modify, suspend or discontinue, temporarily or permanently, the Add-on, Flookup AI, Flookup API or any service to which they connect, with or without notice and without liability to you.

Term and Termination

This License shall remain in effect until terminated by you or the Developer. The Developer may, in its sole discretion, at any time and for any or no reason, suspend or terminate this License with or without prior notice. This License will terminate immediately, without prior notice from the Developer, in the event that you fail to comply with any provision of this License.

You may also terminate this License by deleting the Add-on, Flookup AI and Flookup API and all copies thereof from your computer or similar electronic device. Upon termination of this License, you shall cease all use of the Services and delete all copies of the Add-on, Flookup AI and Flookup API from your computer or from any other electronic device owned by you.

Severability

If any provision of this License is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Amendments to the License

The Developer reserves the right, at its sole discretion, to modify or replace this License at any time. If a revision is material, we will provide notice at least 30 days prior to any new terms taking effect. What constitutes a material change will be determined at the sole discretion of the Developer.

Limitation of Responsibility

You will indemnify, hold harmless and defend the Developer, its employees, agents and distributors against any and all claims, proceedings, demand and costs resulting from or in any way connected with your use of the Services.

In no event (including, without limitation, in the event of negligence) will the Developer, its employees, agents or distributors be held liable for any consequential, incidental, indirect, special or punitive damages whatsoever (including, without limitation, damages resulting in loss of profits, loss of use, business interruption, loss of information or data or pecuniary loss), in connection with, arising out of or related to this License, the Services or the use or inability to use the Services or the furnishing, performance or use of any other matters hereunder whether based upon contract, tort or any other theory including negligence. The entire liability of the Developer, without exception, is limited to a sum equal to any license fee paid to the Developer.

Disclaimer of Warranty

THE ADD-ON, FLOOKUP AI, FLOOKUP API AND ANY ACCOMPANYING FILES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. THIS DISCLAIMER INCLUDES ALL DATA AND FILES THAT ARE TRANSMITTED, MODIFIED, GENERATED, DELETED OR STORED BY THE ADD-ON, FLOOKUP AI OR FLOOKUP API.
